MyCloud Meeting Pro — End User License Agreement & Terms of Use

Effective Date: June 20, 2025

This End User License Agreement and Terms of Use (“Agreement”) is a legally binding agreement between you (“End User,” “you,” or “your”) and Saddleback Communications / Reinvent Telecom (“Company,” “we,” “us,” or “our”) governing your access to and use of the MyCloud Meeting Pro software platform, including its associated websites, mobile applications, desktop applications, and related services (collectively, the “Services”).

By downloading, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, you may not access or use the Services.

  1. License Grant

Subject to the terms of this Agreement, Saddleback Communications / Reinvent Telecom grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services solely for your internal business or personal purposes. You acknowledge that you are acquiring no ownership rights in the Services and that the Services are licensed, not sold.

  1. User Accounts

Certain features of the Services may require you to create an account. You agree to provide accurate, current, and complete information in connection with your account registration and to maintain and promptly update such information as necessary. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

  1. Acceptable Use

You agree not to:

  • Use the Services for any unlawful, harmful, fraudulent, or abusive purpose.
  • Upload, post, or transmit any content that is offensive, defamatory, obscene, or otherwise objectionable.
  • Attempt to gain unauthorized access to any part of the Services, other user accounts, or our systems.
  • Reverse engineer, decompile, or attempt to extract source code from the Services.
  • Interfere with the operation, performance, or security of the Services.

We reserve the right to suspend or terminate your access to the Services if we determine, at our sole discretion, that you have violated any provision of this Section 3.

  1. Ownership and Intellectual Property

The Services and all associated intellectual property, including but not limited to trademarks, copyrights, trade secrets, software, and content, are and shall remain the exclusive property of Saddleback Communications / Reinvent Telecom and its licensors. Nothing in this Agreement shall be construed as granting any right, license, or interest in or to any intellectual property except as expressly provided herein.

  1. Software Updates and Modifications

We may, at our discretion, provide updates, upgrades, patches, or modifications to the Services, which may be installed automatically. You consent to such automatic updates and agree that this Agreement applies to all such updates.

  1. Third-Party Services

The Services may incorporate or link to third-party services, products, or content. We are not responsible for the availability, functionality, or content of such third-party services and disclaim any liability for your use thereof. Your use of any third-party service may be subject to separate terms and conditions imposed by such third-party providers.

  1. Service Availability and Termination

We reserve the right to modify, suspend, or discontinue the Services, in whole or in part, at any time without notice. We may terminate or suspend your account and access to the Services if you breach any provision of this Agreement.

  1. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

  1. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SADDLEBACK COMMUNICATIONS / REINVENT TELECOM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOSS OF DATA, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

  1. Indemnification

You agree to indemnify, defend, and hold harmless Saddleback Communications / Reinvent Telecom, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising from or related to your use of the Services, your violation of this Agreement, or your violation of any applicable laws or regulations.

  1. Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to its conflict of laws principles. Any dispute arising from or related to this Agreement shall be resolved exclusively in the state or federal courts located in [Insert County and State], and you consent to the personal jurisdiction of such courts.

  1. Changes to this Agreement

We reserve the right to modify this Agreement at any time. We will notify you of material changes by posting the revised Agreement on our website or through the Services. Your continued use of the Services after such posting constitutes your acceptance of the updated Agreement.
